Policies And Procedures

These Policies and Procedures govern the way Members conduct business with E Buying Group L.L.C., and other Members. Failure to comply with the provisions of these documents may result in termination of Member status and loss of your rights to receive compensation of any type. E Buying Group L.L.C. reserves the right to modify or amend these Policies and Procedures, and the Compensation Plan at any time. Any changes or modifications shall automatically become part of your Contract with us. Members are responsible for being in compliance with the Policies and Procedures at all times.

1. The Company.

E Buying Group L.L.C., also hereinafter referred to as the "Company," is a membership based referral company. E Buying Group L.L.C. offers products and services from the Internet and to its Members. and The Company operates web site under the name ebgworld.com.

2. Definitions.

Member - An individual, partnership, corporation or other legally recognized entity that has completed an EBG Agreement accepted by the Company. A member is an independent contractor and is not an employee, agent, or joint venturer with the Company. Members are customers of ebgworld.com, with the option to purchase products and services at preferred prices.

Rebate Volume (RV) - Rebate Volume is the value assigned to each product or service sold on ebgworld.com. This value is used to calculate the amount of Profit Sharing Rebates members earn.

Profit Sharing Rebates  Monies paid to embers based on the RV generated by their Referral Matrix. See the "See How It Works" page.

Team Trainer  An "upgraded" Membership. Team Trainers purchase an E-Commerce Business Support Package ($150), and are eligible to earn larger Profit Sharing Rebates, along with Member Acquisition Bonuses.

Member Acquisition Bonuses  Bonuses paid out to Qualified Team Trainers for helping Team Trainers in their "Team Trainer Matrix" qualify with 7 personal free Member referrals.

Qualified Team Trainer  A Team Trainer who has personally referred a minimum of 7 free Members.

Contract - The agreement between a Member and E Buying Group L.L.C., comprised of these Policies and Procedures, the EBG Membership Application, and the EBG Compensation Plan.

3. Becoming a EBG Member

To become a Member, you must be referred by an existing Member and must complete and submit an EBG Application through our web site, ebgworld.com. A Member has been accepted once the Company has approved their completed Membership Agreement. Membership is Free. When a completed Membership Application is submitted through the web site, the Company will assign an EBG Identification Number. This number provides the Member with access to the ebgworld.com web site. The Tax Identification Number provided on the Team Trainer Membership Application shall be used for identification of the Member with respect to the appropriate taxing authorities. For a corporation or partnership, the Membership Application must also include the name of a primary individual that is authorized to conduct business for the corporation or partnership.

4. Restrictions on Becoming a Member

An applicant must be at least 18 years of age, or at least the age of legal contractual capacity in the jurisdiction of which they are a resident.

No Member may have an ownership interest, operational or management control of, or derive any benefit directly or indirectly from any second or subsequent Member business. No Member may also have an ownership interest, operational or management control of, or derive any benefit directly or indirectly from any entity referred to the Company as a Member.

5. Transfer/Assignment of Member's Business.

A Member may not sell, assign or transfer his or her business without written application and subsequent approval by the Company. The potential buyer may be a current Member. All offers and signatures pertaining to the sale of a business must be notarized. A Member who sells his or her business shall not be eligible to rejoin as an EBG Member for a period of six months. E Buying Group L.L.C. reserves the right to disapprove any sale.

6. Death or Incapacity.

Upon the death or incapacitation of a Member, E Buying Group L.L.C. shall be notified in appropriate legal form regarding the disposition of the business. All Members' rights, compensation and responsibilities shall pass to the Members' heirs upon written notification and approval of the Company.

7. Initial/Inventory Purchase Requirement.

No purchase of any kind is required to be a Member. Any and all purchases are made at the sole discretion of the Member.
Member's choosing to purchase the Companys' E-Commerce Business Support Package, understand this package is designed as tools for operating their EBG business. These tools are designed to enhance a Members' ability to attract and retain other Members.

8. Territories.

The Company does not recognize any exclusive territories. Therefore, Members are not restricted from conducting business anywhere in the countries in which the Company operates.

9. Conditions of the Compensation Plan

EBG's Compensation Plan can be found on our Internet site at www.ebgworld.com  and is deemed part of these Policies and Procedures. Certain rules and regulations relating to the application and administration of the Compensation Plan are noted below.

1. So that we may verify information needed to pay rebates and bonuses, all EBG Members must provide EBG with a valid postal address. If a Member fails to provide the necessary information, we will make every reasonable effort to obtain the information. If, however, we are unable to obtain the information, and thus are unable to pay any accrued rebates and bonuses, all such payments will be considered forfeited by the Member one-year after our first request for the information.
2. Bonuses and rebate values are based solely on the purchase price of the product or service, not including shipping, tax, and gift-wrapping, etc.
3. E Buying Group L.L.C. reserves the right to modify or change the Compensation Plan at any time without prior notification.
4. Members who are not residents of the United States are required to determine, and by application to become an EBG Member do certify to the Company, that participation in the Compensation Plan, in accordance with these Polices and Procedures and the Compensation Plan, including receipt of bonuses under the Compensation Plan, is lawful in the jurisdiction(s) where the Member resides, is domiciled or conducts business.
5. To ensure bonuses and rebates are earned and credited correctly, EBG Members must place all orders online via their www.ebgworld.com   web site.

10. Income Representations.

Members shall not make any false or mis-leading statements about their own or any other Members' income. Members are strictly prohibited from making any claims of potential income.

There is no guarantee of income with the EBG Compensation Plan. A Members' income is dependent upon the success of the individual effort expended.

11. Expenses, Licensing and Contractual Obligations.

All Members are independent contractors and are responsible for any and all expenses and liabilities that result from operating their business. These expenses include, but are not limited to, licenses required to operate a business, legal costs and fees, telephone expenses, advertising, travel, etc. Members have no authority to enter into contracts or otherwise incur obligations on behalf of E Buying Group L.L.C.

Members are independent marketers of www.ebgworld.com  and are not purchasers of a franchise or a distributorship. The Contract between the Company and a Member does not create an employer/employee relationship, agency, partnership or joint venture between the Company and the Member. The Member has no authority to bind the Company to any obligation. Each Member shall indemnify and hold harmless E Buying Group from any claims, damages, or liabilities arising out of the Members' activity.

12. Limitation of Liability.

In no event shall E Buying Group L.L.C. be liable for lost profits or any special, incidental or consequential damages arising out of or in connection with the Contract. E Buying Group L.L.C. is not liable for lost profits due to failure of Members to follow the published procedures for obtaining bonuses and rebates.

13. Ethics.

Members must comply with all federal, state/provincial and municipal laws regarding the Members' business and must not engage in any unlawful or illegal trade practices or business activity. Members shall conduct their business in a manner that reflects the highest standards of honesty, integrity and responsibility towards other Members, E Buying Group and the public. EBG recognizes its reputation and public image to be a major asset and will guard against unacceptable behavior by those Members who step beyond the boundaries of good business ethics. The Company will intercede to correct unethical activity on the part of any Member. Verified unethical activities will be justifiable cause for termination of their business.

14. New Member Referral.

All presentations of EBGs' Compensation Plan shall be conducted in conformity with information contained in official Company literature or from EBGs' web site.

15. Prices and Product Availability.

Prices for products offered by EBG are completely within the control and discretion of EBG. Prices may be changed at any time. We will update product information and prices on our web site when appropriate. The Company cannot guarantee availability of all products for sale or shipment, and the Company will endeavor to note any limitations on availability on the www.ebgworld.com  web site.

16. Warranty.

For specific warranty information please refer to the appropriate Manufacturers' refund and warranty policy.

17. Regulatory Approval.

No Member shall state or imply that the promotion, operation or organization of EBG has been approved, sanctioned or endorsed by any regulatory authority.

18. Cancellation.

A Member upon notarized notification to the Company may cancel the Membership Application at any time by registered mail. Upon cancellation, the Member forfeits any unpaid bonuses and rebates.

19. Termination.

The Company may elect in its sole discretion to terminate a Member for cause at any time. Events which may cause the Company to terminate A Member include but are not limited to: a. Breach of the Contract as amended or modified from time to time. b. Making unauthorized claims or misrepresentations or discrediting E Buying Group L.L.C.. c. Producing unauthorized promotional materials.

Termination of A Member terminates any and all rights to bonuses, rebates, referral dollars, or any other incentives, and will be effective upon notification of termination to the offending Member by E Buying Group L.L.C.. The Company reserves the right to negotiate terms other than termination for violation of these Policies and Procedures.

20. Taxes on Products and Services.

Federal, state/province, county, and local governments levy sales taxes. Where sales taxes are applicable, the Company collects those taxes when the product or service is ordered.

21. Income Taxes.

EBG does not deduct any taxes from the payments it sends to Members. On or before established dates of each year, the Company provides the Member and the appropriate governmental agency a form that reflects the total paid to the Member by the Company during the previous year. However, due to international laws, taxes may be deducted by EBG from foreign earnings and submitted to domestic governments in accordance with such regulations. All forms, correspondence, checks, etc., will be mailed to your most current address on file. It is the Members' responsibility to inform the Company in a timely manner of any change of mailing address.

22. Waiver.

No waiver by the Company of any right under the Contract shall constitute a waiver of any other or further right. Any waiver by the Company must be in writing and signed by an officer of the Company.

23. Use of Company Name.

The Company name, trademark and logos can only be used if written consent is obtained from E Buying Group L.L.C.

24. Advertising.

All advertising, copy, direct mailing, radio, television, newspaper, Internet and display copy must be approved by EBG before being disseminated or published. Members may not represent the Company in the media without the express written consent of EBG. All media inquiries are to be referred immediately to EBG.

25.Proprietary Rights.

EBG reserves ownership rights including without limitation copyrights to the contents of all Company-produced materials including literature and information contained on EBGs' Internet web sites. Any unauthorized use or reproduction by any means is strictly prohibited.

26.Confidentiality.

EBG may supply Members product information, data processing information, and other reports containing information concerning a Members' organization, bonuses, and product sales. All information regarding the identity of purchasers, the products purchased by such purchasers, the sales amounts generated by purchasers, the identity of Members in the sales organization of any Member, and the amount of sales and bonuses generated by other Members in such organization belong solely to EBG, are proprietary and confidential, constitute trade secrets of, and may not be used by or disclosed to any person or entity other than the intended recipient of the report or reports from EBG. Any reports and information furnished to Members by the Company may be used only by Members for the purpose of promoting sales of the products and services offered by the Company and may not be used in connection with any other business or activity, or to compete with EBG directly or indirectly, or in any manner that would be unlawful.

27. Prerecorded Telephone Solicitation.

The use of Company names or materials may not be made with automatic calling devices to solicit Customers or Associates.

28. Mass E-Mail or Spamming.

Sending mass e-mail or spamming is strictly prohibited. This includes sending multiple copies of any unwanted or unrequested e-mail, even if executed through newsgroups, purchased mailing lists, or third-person distributors. If a Member in any way participates in the act of spamming, that Member will receive a warning via e-mail. If the Member fails to respond within 24 hours with an agreement to cease sending such e-mails, the Member will be immediately terminated, all Member bonuses and rebates will be withheld, and the Member web site and any other Member benefit will be revoked. If a Member replies with an agreement to cease sending mass e-mails but continues to do so, the above penalties will be invoked immediately and without further warning.

29. Partial Invalidity.

Should any portion of the Contract, or any other instruments referred herein or issued by the Company be declared invalid by a court of competent jurisdiction, the balance of such instruments shall remain in full force and effect.

30. Compliance.

It is mandatory that all Polices and Procedures must be complied with. These regulations have been established to protect the rights of the Company, the Associate, and the Member's Customers. Infractions are considered very serious and will be addressed accordingly.

31. Annual Administrative and Web Hosting Fee.

An annual Administrative and Web hosting fee of $29.95 USD is due upon a Team Trainers' anniversary date. After three months of non-payment after a Team Trainers' anniversary date, the Team Trainers' Membership will be downgraded to Free Member status and any bonuses or rebates will reflect that status.

32. Amendments.

The Company reserves the right to modify or amend terms of the Contract from time to time at its sole discretion without prior notification. By agreeing to the Membership Application, the Member agrees to abide by any such amendments.
